Conveying Public Property

Given:
1. A City owns two parcels of land separated by a 20 foot alley.
2. Parcel One is ~140’ x 150’; Parcel Two is a triangle whose sides are ~40’x 50’x 64’ (non-buildable lot).
3. The previous use encumbered the two parcels and the alley. Parcel Two and alley were a portion of the parking lot and landscaping.
4. Initial recon indicates existing underground and overhead utilities (public and private) within the “alleyâ€.
5. The City wants to sell the two parcels.
6. The City does not want to relocate any of the utilities in the alley due to cost.
7. The City wants to allow limited surface rights within the alley (no buildings or fences).
Required:
1. Finding a buyer who wants to take on a headache.
2. More importantly, preparing the document which conveys the two parcels and alley without a headache.
Has anyone come across a similar situation? Is there a process one should follow or avoid? What say you o' survey world?
